These Terms and Conditions ("Terms") govern your access to and use of 99helpers ("the Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. About 99helpers

99helpers is an AI-powered chatbot platform that allows businesses and individuals to build, train, and deploy AI assistants across websites, WhatsApp, Telegram, Facebook Messenger, and other channels. The Service includes a web application, API access, free tools, and related support materials.

2. Eligibility

You must be at least 18 years old to use the Service. By using 99helpers, you represent that you are of legal age and have the authority to enter into these Terms on behalf of yourself or any organisation you represent.

3. Accounts

Registration

To access most features, you must create an account by providing accurate and complete information. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.

Account security

You must notify us immediately at nick@99helpers.com if you suspect any unauthorised access to your account. We are not liable for any loss or damage arising from your failure to keep your credentials secure.

One account per person or organisation

Each account represents one person or organisation. You may not share accounts or transfer your account to another party without our written consent.

4. Subscriptions and Payment

Plans

99helpers offers both free and paid subscription plans. The features available to you depend on the plan you have selected. We reserve the right to change plan features with reasonable notice.

Billing

Paid subscriptions are billed in advance on a monthly or annual basis, as selected at checkout. All fees are exclusive of applicable taxes, which are added where required by law.

Payment processing

Payments are processed securely by Stripe, Inc. By providing payment details you authorise us to charge your payment method for the subscription fees due.

Cancellation and refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partially used billing periods except where required by applicable law.

Price changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice of any price increase before it takes effect for existing subscribers.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

  • Violate any applicable local, national, or international law or regulation.
  • Build chatbots intended to deceive, defraud, or harm users.
  • Upload or transmit content that is illegal, defamatory, obscene, hateful, or infringes the rights of any third party.
  • Harass, abuse, or threaten any person.
  • Distribute spam, unsolicited messages, or malicious software.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Use the Service to develop a competing product without our prior written consent.
  • Circumvent usage limits, rate limits, or other technical controls.
  • Resell or sublicense access to the Service without our written permission.

We reserve the right to suspend or terminate accounts that violate these rules without refund.

6. Your Content

Ownership

You retain ownership of all content you upload to 99helpers, including documents, knowledge base articles, website data, and chatbot configurations ("Your Content").

Licence to us

By uploading Your Content, you grant 99helpers a limited, non-exclusive, worldwide, royalty-free licence to store, process, and use Your Content solely to provide and improve the Service. We do not claim ownership of Your Content and will not use it for any other purpose.

Your responsibility

You are solely responsible for ensuring that Your Content does not violate any laws or third-party rights. You must not upload content you do not have the right to use.

AI-generated responses

Your chatbots use AI models to generate responses. You acknowledge that AI-generated content may occasionally be inaccurate, incomplete, or inappropriate. You are responsible for configuring your chatbots appropriately and for the outputs they produce to your users.

7. Intellectual Property

Our IP

All intellectual property rights in the 99helpers platform, including software, design, trademarks, and documentation, belong to us or our licensors. These Terms do not transfer any ownership rights to you.

Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without obligation to you.

8. Third-Party Services

The Service integrates with third-party services such as AI model providers, messaging platforms (WhatsApp, Telegram, Facebook Messenger), and payment processors. Your use of these services is subject to their own terms and privacy policies. We are not responsible for the practices or content of third-party services.

9. Free Tools

99helpers provides a number of free AI tools available without an account. These tools are provided "as is" for informational and experimental purposes only. Results generated by free tools should not be relied upon as professional advice.

10. Availability and Uptime

We aim to provide a reliable service but we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from downtime or service interruptions.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. AI-generated content is not a substitute for professional legal, medical, financial, or other specialist advice.

12. Limitation of Liability

To the maximum extent permitted by applicable law, 99helpers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify and hold harmless 99helpers, its employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

14. Termination

By you

You may close your account at any time by contacting us or using the account deletion option in your settings.

By us

We may suspend or terminate your account at any time if you breach these Terms, if we are required to do so by law, or if we discontinue the Service. We will provide reasonable notice where possible.

Effect of termination

Upon termination, your right to use the Service ceases immediately. Your data will be handled in accordance with our Privacy Policy.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date at the top of this page. For material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may close your account before they take effect.

16. Governing Law and Disputes

These Terms are governed by the laws of Ireland and the European Union, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Ireland.

If you are a consumer in the EU, you may also refer disputes to the European Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

17. General

  • Entire agreement — these Terms, together with our Privacy Policy, constitute the entire agreement between you and 99helpers regarding the Service.
  • Severability — if any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
  • No waiver — our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
  • Assignment — you may not assign your rights under these Terms without our prior written consent. We may assign our rights to a successor in connection with a merger, acquisition, or sale of assets.
